For individual projects, additional terms may be provided through a quotation, proposal, purchase order, Statement of Work (SOW), AMC agreement, invoice or separate service agreement.

Where specific project documentation contains terms that apply specifically to that project, those agreed project terms will govern the relevant scope of work.

5. Quotations and Pricing

All quotations are subject to the terms stated in the relevant quotation or proposal.

Unless specifically stated otherwise:

• Quotations may have a defined validity period.
• Prices may change if the project scope changes.
• Applicable taxes, government charges, third-party charges, licenses, hosting, domains, hardware and software costs may be charged separately where applicable.
• A quotation does not constitute confirmation of an order until accepted by both parties or otherwise confirmed in writing.

6. Payment Terms

Payment terms will be specified in the quotation, invoice, proposal, purchase order or service agreement.

Depending on the project, payment may be required:

• In advance
• In milestones
• Upon delivery
• On a recurring basis for AMC or support services

AradhyaNexus may pause work or services where agreed payments remain outstanding.

For hardware, software licenses, subscriptions or third-party services, payment and cancellation conditions may also be subject to the relevant supplier’s terms.

7. Hardware, Software and Third-Party Products

Where AradhyaNexus supplies hardware, software, licenses, hosting, domains, cloud services or other third-party products, availability and warranty may depend on the respective manufacturer, distributor, software provider or service provider.

AradhyaNexus does not control the policies, availability, pricing or technical performance of independent third-party providers.

Manufacturer warranties, where applicable, will be handled according to the manufacturer’s warranty terms.

8. Website Development

For website development projects:

• The customer is responsible for providing accurate business information, images, text, logos and other required materials unless otherwise agreed.
• Project timelines depend partly on the timely availability of required information and approvals.
• Additional revisions or functionality outside the agreed scope may result in additional charges.
• Domain registration, hosting, premium plugins, themes, fonts, stock images, APIs and other third-party services may incur separate charges.
• Final website ownership and access arrangements will depend on the project agreement and payment status.

9. CCTV and Security Solutions

CCTV and security installations depend on the site conditions, equipment selected, network infrastructure, electrical availability and other technical factors.

Actual camera coverage, recording duration, remote viewing, storage capacity and performance may vary depending on the equipment and installation environment.

Customers are responsible for ensuring that their use of CCTV and surveillance equipment complies with applicable laws, regulations and privacy requirements.

AradhyaNexus provides technical installation and configuration services and does not guarantee prevention of every theft, intrusion, security incident or other event.

10. Cybersecurity Services

Cybersecurity services are intended to improve security and reduce identified risks.

However, no security system can guarantee complete protection against every cyberattack, vulnerability, malware infection, data loss or unauthorized access.

Customers remain responsible for maintaining appropriate backups, access controls, software updates and internal security practices unless these responsibilities have specifically been included in an agreed service scope.

AradhyaNexus will not knowingly perform unauthorized security testing or access systems without appropriate authorization from the system owner or customer.

11. IT Support and AMC

IT Support and Annual Maintenance Contract (AMC) services will be provided according to the applicable AMC or service agreement.

The agreement may specify:

• Covered systems and devices
• Service hours
• Response times
• Preventive maintenance
• Remote support
• On-site support
• Exclusions
• Hardware replacement conditions
• Emergency support
• Renewal terms

Services not included within the agreed AMC scope may be charged separately.

12. SEO and Digital Marketing

SEO, social media and digital marketing services are intended to improve online visibility and marketing performance.

However, AradhyaNexus does not guarantee specific search-engine rankings, follower counts, leads, sales, advertising results or revenue unless a specific written agreement expressly provides otherwise.

Search engines, social media platforms and advertising platforms operate independently and may change their algorithms, policies, features or pricing.

13. Customer Responsibilities

Customers agree to:

• Provide accurate and complete information.
• Provide required access and credentials where necessary.
• Obtain appropriate permissions for systems, websites, networks and premises.
• Provide timely approvals and feedback.
• Maintain backups of important data unless backup services are specifically included.
• Ensure that information, content and materials supplied to AradhyaNexus do not infringe third-party rights.
• Use supplied systems and services in accordance with applicable laws and licensing requirements.

Delays caused by missing information, approvals, access or customer dependencies may affect project timelines.

14. Data and Backups

Customers are responsible for maintaining appropriate backups of important business data unless backup and recovery services have specifically been included in the agreed scope.

Where AradhyaNexus performs technical work on customer systems, reasonable care will be taken to protect customer information and systems.

However, customers should maintain independent backups before significant system changes, migrations, upgrades or repairs.

15. Intellectual Property

Unless otherwise agreed in writing:

• AradhyaNexus retains rights in its pre-existing materials, methods, templates, tools, processes and reusable components.
• Customer-owned content, trademarks, logos and business information remain the property of the customer or their respective owners.
• Third-party software, themes, plugins, fonts, stock assets and other licensed materials remain subject to their respective license terms.
• Ownership or licensing of project-specific deliverables will be determined by the relevant quotation, proposal, invoice or service agreement.

16. Confidentiality

Both parties may receive confidential information during the course of a project.

Each party should take reasonable steps to protect confidential business, technical and commercial information received from the other party.

Confidential information should not be disclosed to third parties except where required to provide the agreed service, required by law, or otherwise authorized.

17. Service Availability

We aim to provide reliable services and support. However, service availability may occasionally be affected by:

• Internet service failures
• Power outages
• Hardware failures
• Third-party service interruptions
• Hosting or cloud-provider outages
• Software or platform changes
• Cybersecurity incidents
• Events beyond our reasonable control

Where services depend on third-party infrastructure, AradhyaNexus cannot guarantee uninterrupted availability of that third-party service.

18. Limitation of Liability

AradhyaNexus will provide services with reasonable care and professional attention within the agreed scope.

To the extent permitted by applicable law, AradhyaNexus will not be responsible for indirect, incidental, special or consequential losses arising from the use of our website or services.

This may include losses relating to business interruption, loss of profits, loss of data or loss of business opportunities, except where liability cannot lawfully be excluded or limited.

Specific project agreements may contain additional liability provisions.

19. Cancellation and Termination

Cancellation terms for a particular project or service will normally be specified in the applicable quotation, invoice, AMC agreement or service contract.

Where a customer cancels a project after work has commenced, charges may apply for work already completed, materials purchased, third-party services committed, or other non-refundable costs, subject to the agreed project terms and applicable law.

For recurring services such as AMC or subscriptions, termination and renewal will follow the applicable service agreement.

20. Third-Party Links and Services

These third-party services operate independently and may have their own terms, privacy policies and conditions.
